The Role:

The Assistant Company Secretary, Real Estate supports the day-to-day governance and administration of real estate fund and corporate structures, including limited partnerships, general partners, holding companies and special purpose vehicles.

Working under the direction of a portfolio owner, the role supports board processes, corporate compliance, transaction activity and structure administration, ensuring that governance obligations are met and administrative matters are progressed efficiently. The role provides a strong development opportunity for individuals seeking to broaden their experience across governance, fund administration and real estate transactions.

This role would particularly suit individuals with experience gained within a fund administrator, corporate services provider or similar financial services environment supporting private equity, private debt, real estate or other alternative investment structures. Candidates may have experience administering limited partnerships, general partners, holding companies and SPVs and be seeking an opportunity to broaden their exposure to governance, transactions and stakeholder management within a real estate investment environment.

Key :

Governance and Board Administration

  • Support the board meeting process for allocated structures.

  • Coordinate meeting logistics, board materials, governance documentation and action tracking.

  • Prepare first drafts of minutes, written resolutions and associated governance records.

  • Maintain corporate calendars, governance registers and action logs.

Fund and Entity Administration

  • Support the day-to-day administration of real estate fund and corporate structures from a Company Secretarial perspective.

  • Maintain statutory records, governance records and entity information across relevant systems.

  • Support routine regulatory and statutory filing requirements.

  • Monitor key dates and assist in ensuring governance obligations are met.

Transaction and Structure Support

  • Support acquisitions, disposals, refinancings and other real estate transactions.

  • Coordinate governance approvals, signing requirements and related stakeholder actions.

  • Support the launch, reorganisation and wind-up of structures.

  • Progress agreed governance and administration activities arising from transactions and projects.

Due Diligence and Information Management

  • Coordinate KYC and due diligence requests.

  • Maintain governance records and document management systems.

  • Support data remediation and document management initiatives.

  • Ensure information remains accurate, complete and appropriately retained.

Stakeholder Coordination and Team Contribution

  • Build effective working relationships with directors, service providers and internal stakeholders.

  • Act as an operational point of contact for routine governance and administration matters.

  • Support continuous improvement initiatives and development of team procedures.

  • Contribute positively to a collaborative team environment.

Knowledge, Skills and Experience

  • Experience within fund administration, corporate services, company secretarial practice or a similar financial services environment is preferable

  • Understanding of fund, corporate and partnership structures, including LPs, GPs and SPVs is preferable

  • Understanding of governance and board administration processes.

  • Strong organisational skills with the ability to manage multiple priorities.

  • Strong attention to detail and problem-solving skills.

  • Effective written and verbal communication skills.

  • Ability to build positive working relationships with internal and external stakeholders.

  • Experience using Microsoft 365 and governance or document management systems is preferable.

Qualifications:

  • Degree qualified in business management, financial services or a related field.

  • Active progression towards a relevant professional qualification in governance, company secretarial practice, fund administration, law, accounting or a related discipline.

  • Chartered Governance Institute qualification would be advantageous.
